Welcome to the PPA Platform available at renew-xchange.com (the "Platform").

These terms and conditions (the "Terms") govern your access to and use of the Platform, along with any services provided through it ("the Services"). Our Services may include various software features, profiles, data analytics tools, content libraries, educational resources and other types of content. For the purposes of these Terms, the references to "RenewXchange Content" refer to all information, data of any kind, text, graphics, images, audio, video, all software features and/or functionalities and any other materials made available on the Platform, whether created by us or licensed from third parties.

This Platform is operated by RenewXchange Ltd, whose registered office is at Radnička cesta 80, Zagreb, Croatia ("RenewXchange", "we"). By accessing the Platform or otherwise using our Services or any RenewXchange content, you (a "User", "you") agree to comply with these Terms.

1 Registering on the Platform

1.1 Accepting these Terms

Before registering and accessing the Platform, please read these Terms carefully, as you must accept them. Anyone who accesses the Platform, or otherwise uses the Services, including any RenewXchange Content made available through it, confirms that they have read, understood, and agreed to these Terms, as well as to any policy or document incorporated by reference.

1.2 These Terms are a Contract

When you register to the Platform and accept these Terms, a contract is formed between you and RenewXchange. The contract between us is binding. If you do not want to agree to any part of these Terms, you must not register to access the Platform, or otherwise use the Services, including any RenewXchange Content.

1.3 User's Eligibility

You may access the Platform, or otherwise use our Services, including RenewXchange Content, only if you can enter into a legally binding contract with us and only in compliance with these Terms and relevant laws and regulations.

To use our Services, you must:

1. be at least 18 years old, or of legal age in your country of residence if higher;
2. complete the registration process by providing all the required information, and accept these Terms; and
3. maintain an active Platform Account using a professional or corporate/company email address.

1.4 Organisations

If you are accessing or using the Platform on behalf of an Organisation:

1. these Terms form an agreement between us and you, as well as between us and that Organisation;
2. you confirm that you have the authority to bind that Organisation to these Terms;
3. by accepting these Terms, you also bind the Organisation to them;
4. your access to the Platform may be suspended and/or terminated if you no longer associate with that Organisation;
5. we may share information about you and your use of the Platform with that Organisation.

1.5 Registration Details

To register for the Platform, you will be asked to provide certain information. You must ensure all information you provide is correct, current, and complete. Where the required information includes personal data, RenewXchange's processing will be governed by the RenewXchange's Privacy Notice published on our website.

2 Your Platform Account

2.1 General

Your account on our Platform gives you access to the Services that we provide and all features and functionalities we may enable from time to time. You acknowledge and agree that you do not own your Platform Account. As a User, you are permitted to use one account, which is to be used only by you.

2.2 Account Security and Unauthorised Access

You are solely responsible for maintaining confidentiality and security of your Platform Account credentials. You agree to take all necessary steps to prevent unauthorised access. You are liable for all activities conducted through your Platform Account. In the event of any unauthorised access, you are required to notify us immediately.

2.3 Free Trial

The Platform is currently available on a free trial basis only. The duration of the free trial remains at our full discretion. We reserve the right to modify or terminate the free trial offer at any time. However, if we decide to end your free trial, we will notify you at least 10 days in advance.

2.4 Charges and Fees

RenewXchange may require you to pay a fee for accessing certain Services. No fee will be charged without your consent. We reserve the right to change such fees from time to time, with reasonable notice.

2.5 Equipment

You are solely responsible for obtaining, maintaining, and ensuring the compatibility of any hardware, software, network connectivity, and any other equipment that may be necessary to access the Platform.

3 Our Services

3.1 Provision and Availability of our Services

RenewXchange will provide you access to the Services, including the RenewXchange Content, under these Terms. We may periodically update the content, features or design of the Services.

3.2 Changes to our Services

As RenewXchange continuously develops and improves its Services, you can expect that their format and features will change from time to time. RenewXchange reserves the right to temporarily or permanently stop offering the Platform or the Services, or any part or feature thereof.

3.3 Disclaimers

We will make every reasonable effort to keep the Platform functional and available. However, we cannot guarantee that the Platform will always be available, uninterrupted, and/or error-free. To the fullest extent permitted by applicable law, RenewXchange provides the Platform "as is", with no express or implied warranties.

RenewXchange acts solely as a technical intermediary to facilitate introductions between Users. We do not verify the solvency, legal status, or commercial capabilities of any Organisation or User. We are not a party to any agreement entered into between Users.

3.4 Support

If you encounter any problem regarding the functioning or the availability of the Platform, please submit your request to our support team at info@renew-xchange.com.

4 Using the Platform

4.1 Limited Licence

Under the condition that and only as long as you comply with these Terms, RenewXchange grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform. No right, title, or interest in or to the Platform is transferred to any User.

4.2 Content Use

The Platform is intended for your, or your Organisation's internal use only. Unless expressly agreed otherwise in writing, you are not granted the right to use our Services for any other purpose.

4.3 Use Restrictions and Prohibited Activities

You may access and use the Platform only for lawful purposes, and in accordance with these Terms. You agree not to:

1. reverse engineer, decompile, disassemble, or attempt to discover the source code;
2. share, distribute, sublicense, rent, lease, resell, transfer, or otherwise make available access to the Platform to any unauthorised third party;
3. copy, reproduce, republish, alter, adapt, translate, or create derivative works of the Platform;
4. use the Platform for purposes that compete with our business;
5. access the Platform by automated means (bots, spiders, scrapers);
6. circumvent any security or technical restrictions;
7. engage in any activities that could impair or disrupt the Platform;
8. frame, mirror, or incorporate any part of the Platform into another service;
9. engage in any conduct that restricts other Users' enjoyment of the Platform.

4.4 Security and Assumption of Risk

Accessing, downloading, or otherwise obtaining materials through the Platform is done at your own discretion and risk. RenewXchange makes no warranty that the Platform will be error-free, uninterrupted, secure, and/or free of harmful elements.

4.5 Compliance Monitoring

To ensure adherence to these Terms, we may incorporate different tools at our discretion to monitor compliance.

4.6 Suspension and Termination of Access

If you fail to comply with these Terms, RenewXchange may suspend or deactivate your access to the Platform Account temporarily or permanently. Upon suspension or termination, you will lose access to your Platform Account, including all associated data.

5 User Content

5.1 General

In using the Platform, you may upload or otherwise provide different content to us (the "User Content"). Please ensure that any User Content you provide does not infringe the rights of others.

5.2 Ownership and Warranties

You acknowledge and agree that you are solely responsible for your User Content. You warrant that your User Content is true, current, accurate, and complete. You represent and warrant you are the owner of the User Content you provide.

5.3 Prohibited User Content

You expressly agree that the User Content that you post or upload will not include:

1. any spam, unsolicited promotions, advertising;
2. unlawful, defamatory, harassing, offensive, or vulgar content;
3. content that discriminates on any basis;
4. content that encourages criminal behaviour;
5. content that poses a risk to a person's safety, security or health.

5.4 Licence to RenewXchange

By uploading, posting, or otherwise making available to us any User Content, you grant RenewXchange a worldwide, perpetual, irrevocable, royalty-free, fully transferable, sublicensable, non-exclusive licence to use such content for operating, maintaining, and improving the Platform.

5.5 Feedback

Any feedback, suggestions, comments, and/or ideas you may provide to us regarding usage of the Platform will be the exclusive property of RenewXchange.

6 Intellectual Property Rights

6.1 Ownership

RenewXchange owns and retains all right, title, and interest, including all intellectual property rights, in and to the Platform, the Services, and any associated content, materials, and data.

6.2 Reserved Rights and No Transfer

Except as expressly provided in these Terms, no rights in the Platform and Services are transferred to the User. You are granted a licence as set out in section 4.1 (Limited Licence) only.

6.3 Restrictions on our Intellectual Property

You agree you will not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices; reverse engineer any software; misrepresent or challenge ownership of RenewXchange's intellectual property; or use any content for commercial purposes not expressly permitted.

6.4 Protection of Intellectual Property

RenewXchange reserves the right to protect its intellectual property rights to the fullest extent permitted by law.

6.5 Third-Party Services

Our Services may include links to third-party materials. We do not endorse or take responsibility for any such third-party services. If you access a third-party service from or through the Platform, you do so at your own risk.

7 Confidentiality

7.1 Our Confidential Information

"Confidential Information" means any information we may disclose in connection with the Platform or provision of Services, including software, source code, business plans, customer data, RenewXchange Content, and Usage Data.

7.2 Your Obligations

You agree to keep all our Confidential Information confidential and not disclose it to any third party. Upon deactivation of your Platform Account, you are required to return or destroy all Confidential Information in your possession.

7.3 Remedies for Breach

You acknowledge that any unauthorised disclosure or use of our Confidential Information may cause irreparable harm. Therefore, RenewXchange is entitled to seek injunctive relief or other appropriate remedies in the event of a breach.

8 Limitation of Liability and Indemnity

8.1 Exclusion of Damages

Your use of the Platform and our Services is at your own risk. To the fullest extent permitted by applicable law, we are not liable for any direct, indirect, consequential and/or any other damages that may arise in connection with your use of the Platform.

8.2 Liability Cap

In the event that we are held liable to you for any claim, the total liability shall be limited to (i) the total amount of fees you actually paid during the 12 months preceding the event; or (ii) if the Service is provided free of charge, EUR 100.

8.3 No Liability for Third-Party Content

We shall not be liable for any damages or losses arising from third-party services.

8.4 Force Majeure

We will not be liable for any delay or failure to provide any Services where this is a result of causes beyond our reasonable control.

8.5 Your Indemnity

You agree to indemnify, hold harmless, and defend us against all claims, damages, losses, liabilities, costs, and expenses arising in connection with your use of the Platform, any breach of these Terms, or any violation of third-party rights or applicable law.

9 Other

9.1 Assignment and Transfer

We may transfer or assign our rights and responsibilities under these Terms to anyone else at our discretion. You may only transfer or assign your rights or obligations with our prior written consent.

9.2 No Third-Party Beneficiaries

These Terms are for the exclusive benefit of the parties involved and are not intended to confer any rights or remedies upon any third party.

9.3 Severability

If any part of these Terms is found to be unlawful or unenforceable, the rest of these Terms will remain fully in effect.

9.4 Waiver

If we do not immediately enforce any of our rights under these Terms, this does not mean that we have waived those rights.

9.5 Changes to these Terms

We reserve the right to amend or otherwise update these Terms at any time. Material changes will take effect no sooner than seven (7) days after the notice. Continued use of the Platform means you accept the changes.

9.6 Survival

Even after these Terms cease to be effective, certain rights and responsibilities will continue to apply, including our intellectual property rights, confidentiality obligations, payment obligations, and indemnification obligations.

9.7 Governing law and jurisdiction

These Terms are governed by Croatian law. Croatian courts will have jurisdiction over disputes related to these Terms, unless a mandatory legal requirement says otherwise.
